Terms and Conditions of Service
This page explains “Terms and Conditions of Service” as it applies to BarmajTek platforms and products, including Clinic Tek.
1. Acceptance of terms
By using the Service, creating an account, or subscribing, you agree to be bound by these Terms, the Privacy Policy, the Acceptable Use Policy, and the other documents referenced herein. If you do not agree, please do not use the Service.
2. Definitions
- "Provider" / "we"
- BarmajTek.
- "Service"
- The website, platforms, applications, APIs, and support provided by BarmajTek, including Clinic Tek, Menu Tek, Teach Tek, Gym Tek, and Shop Tek.
- "Customer" / "you"
- The person or organisation subscribing to the Service.
- "End user"
- The Customer's own customers whose data is managed via the platform (patients, members, students, buyers).
- "Subscription"
- The agreed plan, term, and limits in exchange for fees.
3. Service description
BarmajTek provides Software-as-a-Service (SaaS) for business management. Depending on the product and plan, features may include customer, appointment, invoice, inventory, and reporting management, WhatsApp notifications, and CliQ payments. We may develop or modify features and will give prior notice of any material change.
4. Eligibility and accounts
- You must be legally able to contract and must provide accurate, up-to-date information.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must notify us immediately of any unauthorised use of your account.
5. Plans, subscription, and free trial
- The Service is offered via (monthly/annual) subscription plans depending on the product, tier, and limits.
- We may offer a trial period; it converts to a paid subscription unless you cancel before it ends, as shown at sign-up.
- Subscriptions renew automatically for equal terms unless either party gives at least 30 days' prior written notice.
6. Pricing, billing, and payment
- All prices are in Jordanian Dinar (JOD) unless stated otherwise.
- Payment is by bank transfer, CliQ, or another approved method, and is due in advance before activation/renewal.
- Payment overdue by more than 15 days entitles us to suspend access until paid.
- We may change prices with at least 30 days' prior notice, effective from the next renewal cycle.
7. Taxes and official invoicing
Prices exclude general sales tax unless stated. Once we are registered for sales tax (GST), tax is added at 16% and the official invoice is issued through the national JoFotara system per the Income and Sales Tax Department (ISTD) requirements. You are responsible for any taxes on your use of the Service other than taxes on our income.
8. Customer obligations and acceptable use
- Use the Service only for lawful purposes and in accordance with Jordanian law.
- Do not resell or sublicense the Service without written permission.
- Comply with the Acceptable Use Policy.
- Obtain the necessary consents from your end users to process their data.
9. Ownership of data and content
Customer data and content (including end-user data) remain the Customer's property. We process it as a processor under the Data Processing Addendum (DPA). You may export your data in Excel/CSV, and we delete or return it within 30 days of contract termination upon request.
10. Intellectual property
The Service, its software, interfaces, and trademarks (BarmajTek, Clinic Tek, Menu Tek, Teach Tek, Gym Tek, Shop Tek) remain the exclusive property of the Provider. These Terms grant you a limited, non-exclusive, non-transferable right of use and transfer no ownership.
11. Availability and support
We aim for around-the-clock availability with scheduled maintenance where needed. Service-level and support details are in the Service Level Agreement (SLA). Support hours: Saturday–Thursday, 9:00–18:00 Amman time (excluding public holidays).
12. Third-party services
The Service may rely on third parties (WhatsApp, CliQ, hosting, JoFotara). We are not liable for interruptions or changes to these external services beyond our control, and their use is subject to their providers' terms.
13. Suspension and termination
- We may suspend or terminate the account immediately for a material breach (payment overdue 30+ days, unlawful use, security threat).
- You may terminate by written notice per section 5.
- On termination, usage rights cease; clauses that by their nature survive (IP, confidentiality, limitation of liability) remain in effect.
14. Refunds and cancellation
Cancellations and refunds are governed by the Refund & Cancellation Policy.
15. Disclaimer of warranties
The Service is provided "as is" and "as available". We do not warrant that it is entirely error-free or fit for a particular purpose. The platform is an administrative tool and not a substitute for professional judgement (medical, financial, or otherwise); we are not liable for decisions made in reliance on it.
16. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect or consequential damages, lost profits, or lost data. Our total aggregate liability shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.
17. Indemnity
The Customer agrees to indemnify the Provider against any claims or damages arising from the Customer's breach of these Terms or the law, infringement of third-party rights, or unlawful use of the Service.
18. Confidentiality and data protection
Both parties keep exchanged information confidential. Personal data is processed under the Privacy Policy, the Data Processing Addendum, and the Personal Data Protection Law No. (24) of 2023.
19. Changes to terms
We may update these Terms periodically. We publish the new version with an updated effective date and notify you of material changes. Continued use after an update constitutes acceptance.
20. Force majeure
Neither party is liable for a breach caused by circumstances beyond its reasonable control (natural disasters, communications or power outages, government decisions, war, or infrastructure-provider failures).
21. Governing law and jurisdiction
These Terms are governed by and construed under the laws of the Hashemite Kingdom of Jordan. Any dispute will first be addressed amicably; failing that, the courts of Amman have jurisdiction.
22. Notices and general provisions
- Official notices are sent by email to info@barmajtek.com or within the platform.
- If a clause is invalid, the remaining clauses remain in effect.
- Failure to exercise a right is not a waiver of it.
- These Terms, together with the referenced documents, constitute the entire agreement between the parties.
